By engaging Sharp Content Marketing LLC (βCompanyβ) for any marketing, consulting, or content creation services, or by using this website, you (βClientβ) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not engage our services or use this website. These terms constitute the entire agreement between the Company and Client with respect to the subject matter herein, and supersede all prior communications, representations, or agreements.
Sharp Content Marketing LLC provides content marketing, SEO copywriting, website copywriting, blog writing, email marketing, social media content, brand messaging, content audits, lead generation, and content distribution services as described in individual service proposals and statements of work. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a written proposal or statement of work provided to Client prior to commencement of services. Services not included in the approved scope of work will be quoted and billed separately.
Marketing consulting services are provided on an hourly or project basis as defined in the applicable service agreement. Consulting engagements may include marketing strategy development, content program management, fractional marketing director services, vendor management, and marketing performance analysis. The Company provides consulting services based on its professional expertise and experience; however, the Company cannot guarantee specific business outcomes from consulting recommendations, as outcomes depend on factors outside the Company's control, including Client implementation, market conditions, and competitive dynamics.
Client agrees to provide timely access to the information, materials, and approvals necessary for the Company to perform the agreed services. This includes providing accurate business information, brand guidelines, access to website analytics and relevant platforms, timely review and approval of content drafts, and prompt payment of invoices. Delays caused by Client's failure to provide required information or approvals may result in project timeline extensions and may affect the Company's ability to meet originally projected deliverable dates.
Payment terms are specified in individual service agreements. Monthly retainer services are billed in advance on the first of each month. Project-based work is billed according to the payment schedule defined in the applicable proposal, which typically includes a deposit upon engagement and a final payment upon project completion. Invoices are due within fifteen (15) days of the invoice date. Accounts past due by more than thirty (30) days may be subject to a late fee of 1.5% per month on the outstanding balance and may result in suspension of services.
Any changes to the agreed project scope must be submitted in writing and approved by both parties before additional work is commenced. The Company reserves the right to assess additional fees for scope changes that materially increase the time or resources required to complete the project. Minor revisions within the scope of the original agreement are included; revisions that require substantial rework due to changes in Client direction, strategy, or requirements may be billed at the Company's standard hourly rate.
Upon receipt of full payment for services, Client receives full ownership of all original content created by the Company specifically for Client under the applicable service agreement, including written copy, editorial calendars, content strategy documents, and brand messaging frameworks. The Company retains the right to reference Client engagements in its portfolio and marketing materials in general terms. The Company retains ownership of its proprietary methodologies, frameworks, templates, and processes, which are used to deliver services but are not transferred to Client.

Either party may terminate ongoing service agreements with thirty (30) days written notice. Upon termination, Client is responsible for payment of all fees for services rendered through the termination date, including any work in progress at the time notice is provided. The Company will deliver all completed work product for which payment has been received. Deposits for project-based work are non-refundable unless otherwise specified in the applicable service agreement.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Company's services shall be resolved in the courts of Shasta County, California. Both parties consent to the personal jurisdiction of such courts.

Project-based engagements typically require a deposit of 50% of the total project fee prior to commencement of work. Deposits are used to reserve the Company's time and resources for your project and to cover initial research, discovery, and strategy development costs. All deposits are non-refundable once work has commenced. If a project is cancelled by the Client before any work has begun, the Company may, at its sole discretion, issue a partial or full refund of the deposit, less any administrative costs incurred.
For engagements requiring significant upfront research or strategy work, such as comprehensive content audits or brand messaging projects, the deposit may be up to 100% of the total project fee, reflecting the substantial upfront labor investment required. These deposits are non-refundable once discovery and research activities have commenced.
Consulting services billed on an hourly basis are non-refundable once the consulting session has been completed. If a scheduled consulting session is cancelled by the Client with less than 24 hours notice, the session fee may be charged at the Company's discretion. Consulting packages purchased in advance may be subject to partial refund if unused sessions remain and the Client provides written notice of cancellation; any refund will be calculated based on the standard hourly rate for sessions completed, deducted from the package price paid.
Monthly retainer services are billed in advance for the upcoming service month. Because work for the upcoming month begins immediately upon billing β including content planning, keyword research, writing assignments, and editorial scheduling β monthly retainer fees are non-refundable once the billing cycle begins. Clients may cancel ongoing monthly services with 30 days written notice; the final month's retainer fee will be applied to services delivered during the notice period.
If the Company is unable to deliver the agreed monthly deliverables due to circumstances within the Company's control, the Company will either deliver the outstanding work in the following month at no additional charge or provide a prorated credit toward future services. The Company does not issue cash refunds for monthly retainer fees under normal operating circumstances.
Individual content writing projects β including blog posts, website pages, email sequences, and white papers β include up to two rounds of revisions at no additional charge. Revisions must be requested within 14 days of content delivery. After two revision rounds, additional revisions are billed at the Company's standard hourly rate. Content writing fees are non-refundable once the first draft has been delivered, as the substantial labor investment in research, writing, and editing has already been made.
If Client is not satisfied with a content deliverable after two revision rounds, Client may request a review meeting with Timothy Sharp to discuss concerns and identify a resolution. In cases where the Company has materially failed to deliver content consistent with the agreed brief and scope, the Company may, at its discretion, issue a partial credit toward future services.
Clients may cancel ongoing service engagements at any time with 30 days written notice delivered to timothysharp@sharpmarkllc.com. Upon receipt of a cancellation notice, the Company will complete work in progress through the end of the notice period and deliver all completed work product for which payment has been received. No new work will be initiated after the cancellation notice is received unless otherwise agreed.
Refunds may be considered in the following limited circumstances: (a) the Company has not yet commenced work on a project-based engagement and Client requests cancellation within 48 hours of payment; (b) the Company has materially failed to deliver agreed services and has not remedied the failure within 30 days of written notice from Client; or (c) a billing error has resulted in an overcharge. All refund requests must be submitted in writing to timothysharp@sharpmarkllc.com with a clear description of the basis for the request. The Company will review and respond to refund requests within 10 business days.
No refunds will be issued for work that has been completed and delivered in accordance with the agreed scope of work, regardless of whether the Client has implemented or used the delivered work. The Company's services consist of the creation and delivery of content and strategic assets; the Company cannot be held responsible for business outcomes that depend on Client implementation, market conditions, or factors outside the Company's control.
If Client believes an invoice contains an error, Client must notify the Company in writing within 15 days of the invoice date. The Company will investigate the dispute and respond within 10 business days. Undisputed portions of an invoice remain due and payable by the original due date. Failure to raise a billing dispute within 15 days of the invoice date constitutes acceptance of the invoice as accurate.
Initiating a chargeback or payment dispute with your bank or credit card provider without first contacting the Company to resolve the issue is a violation of these Terms and Conditions. If a chargeback is initiated, the Company reserves the right to suspend all services immediately, retain all work product pending resolution of the dispute, and pursue recovery of the disputed amount plus any chargeback fees assessed by the Company's payment processor. The Company maintains detailed records of all services delivered and will contest chargebacks that do not reflect a genuine service failure.
The Company reserves the right to make exceptions to this Refund Policy at its sole discretion in cases involving extraordinary circumstances. Any exception to this policy must be approved in writing by Timothy Sharp and does not constitute a modification of the policy or a precedent for future exceptions.
